Terms of Service

These Terms of Service (the "Terms") govern your use of the DiffGuardian website at diffguardian.ai, the DiffGuardian account and subscription service, and any related services we provide (together, the "Service"), operated by Athleon Labs Inc., a corporation incorporated in Manitoba, Canada ("Athleon Labs", "we", "us", "our").

The DiffGuardian desktop application itself is licensed to you under our End User Licence Agreement, which governs the software. These Terms govern the account and service around it. Where the two overlap in respect of the software, the EULA prevails.

By creating an account or using the Service, you agree to these Terms. If you are agreeing on behalf of an organisation, you represent that you have authority to bind it.

Eligibility and accounts

You must be at least the age of majority in your jurisdiction, or have the consent of a parent or guardian, and must not be barred from receiving our services under applicable law.

You are responsible for your account credentials and for all activity under your account. Accounts are personal to you and may not be shared. Tell us promptly at support@diffguardian.ai if you believe your account has been compromised.

We use a third-party identity provider for sign-in. Your use of a third-party sign-in method is also subject to that provider's terms.

Plans, billing and cancellation

DiffGuardian offers a free tier and one or more paid subscription tiers.

  • Billing. Paid subscriptions are billed in advance through our payment processor, Stripe. We do not receive or store your full payment card details.
  • Automatic renewal. Paid subscriptions renew automatically at the then-current price for successive periods until cancelled. You authorise recurring charges.
  • Cancellation. You may cancel at any time from the billing portal. Cancellation takes effect at the end of the current period; access continues until then.
  • Refunds. Except where required by law, fees are non-refundable and are not pro-rated for partial periods or unused capacity.
  • Price and plan changes. We may change prices or the contents of a plan on reasonable notice, effective at your next renewal.
  • Taxes. Fees exclude applicable taxes, which are your responsibility except taxes on our net income.
  • Failed payment. If payment fails or an account falls past due, we may downgrade or suspend paid features.

Acceptable use

You agree not to:

  • use the Service in violation of applicable law, or to infringe anyone's rights;
  • attempt to gain unauthorised access to the Service, other accounts, or any connected system;
  • probe, scan, overload or disrupt the Service, or circumvent any rate limit, quota, entitlement or security control;
  • resell, sublicense or provide the Service to third parties except as expressly permitted;
  • misrepresent your identity or affiliation, or use the Service to harass or harm others.

We may suspend or terminate access for a material breach of these Terms, for non-payment, or where required by law.

Your code and content

DiffGuardian is a desktop application. Your source code and diffs are processed on your machine, and where you have configured an external model provider, sent directly from your machine to that provider. We do not receive, store or process your source code on our servers. See our Privacy Policy and Security & Data Handling for detail.

You retain all rights in your code and content. You are responsible for having the rights necessary to process it with the Service and for meeting any obligations you owe to your employer, clients or third parties.

Third-party services

The Service integrates with third parties you choose to connect — version-control hosts, AI model providers, and others. Those services are governed by their own terms and privacy policies. We are not responsible for third-party services, their availability, or how they handle data you send them.

AI features

The Service includes AI-generated output. It may be incomplete or wrong and is not a substitute for human review. Our AI Disclaimer forms part of these Terms and you should read it before relying on any output.

Intellectual property

The Service, the DiffGuardian name and logo, and all associated intellectual property are owned by Athleon Labs or its licensors. These Terms grant you no rights in them except the limited right to use the Service as permitted. Open-source components we distribute are governed by their own licences, and the required notices are included with the application at Settings → About → OSS Licenses.

If you send us feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use them without obligation to you.

Availability

We aim to keep the Service available but do not guarantee uninterrupted operation. We may modify, suspend or discontinue any part of the Service, and will give reasonable notice of a material discontinuation where practicable. The desktop application's core review features are designed to work without our servers; account, billing and entitlement functions require them.

Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS, DATA OR SOURCE CODE, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, AND (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including for fraud, for death or personal injury caused by negligence, or any non-waivable right you have as a consumer.

Indemnity

You will indemnify and hold harmless Athleon Labs and its directors, officers, employees and agents from any third-party claim, and any resulting loss, liability, cost or expense (including reasonable legal fees), arising from your content, your use of the Service in breach of these Terms or applicable law, or your infringement of any third-party right.

Termination

You may stop using the Service and delete your account at any time from the application. We may suspend or terminate your access as described under Acceptable use. Provisions that by their nature should survive termination will survive.

Changes to these Terms

We may update these Terms. Material changes will be published with a new version number and effective date, and we will seek your acceptance where required. Continued use after a change takes effect constitutes acceptance. If you do not accept a change, stop using the Service and cancel any subscription.

Governing law and disputes

These Terms are governed by the laws of the Province of Manitoba and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts located in Winnipeg, Manitoba have exclusive jurisdiction, except that either party may seek injunctive relief elsewhere to protect its intellectual property, and except where mandatory law entitles you as a consumer to bring proceedings where you live.

General

These Terms, together with the EULA, Privacy Policy and AI Disclaimer, are the entire agreement between us about the Service. You may not assign them without our consent; we may assign them in connection with a merger, acquisition or sale of assets. If a provision is unenforceable it will be limited to the minimum extent necessary and the rest remains in force. Failure to enforce a provision is not a waiver.
